Nordgold - Directors’ Interests in Shares and GDRs

Amsterdam, Netherlands, December 09, 2014 – Nord Gold N.V. (“Nordgold” or the “Company”, LSE: NORD), an internationally diversified low-cost gold producer, announces that Mr. Alexei Mordashov, main shareholder and non-executive director of the Company, has acquired 2,511,559 GDRs from Mr. Nikolai Zelenski, Nordgold's Chief Executive Officer and 1,076,383 GDRs from Mr. Oleg Pelevin, the Company's Director of Strategy and Corporate Development at a price equal to the closing price of the listed GDRs of Nordgold on the London Stock Exchange on December 5, 2014, being US$1.50 per GDR.

Following the transaction, Nordgold has registered, in accordance with chapter 5.3 of the Dutch Act on Financial Supervision, the interests of Mr. Mordashov in the Company as follows:

Nordgold’s freefloat remains 13.7% as GDRs previously owned by Mr. Zelenski and Mr. Pelevin has not been referred as freefloat.
